1. Agreement to These Terms

By accessing or using the Site, you agree to these Website Terms of Use (“Terms”) and our Privacy Policy. If you do not agree, do not use the Site.

These Terms govern use of the Site (browsing, marketing pages, waitlist forms, and public information). Membership, Lotus$ ledger use, Member-to-Member trading, Lotustay.com Lotus$ lodging, Path levels, and related club features are governed by the separate membership documents you accept by click-wrap (or other affirmative acceptance) when you join or use those features—including the Member / Club Rules, Lotus$ Ledger / Trade-Credit Terms, Privacy Policy (Membership), Trading & Lodging Enablement Schedule, and any Host / Hub / Trademark addenda that apply. If those membership documents conflict with these Website Terms on a membership or trading topic, the membership documents control for that topic.

2. Soft Launch History; Waitlist Is Still Not Membership

Parts of the Site began as a soft launch / waitlist. Joining the waitlist does not:

Guarantee membership, early access, or invitation
Create any right to trade, earn, hold, or redeem Lotus$ (or “Lotus Cash”)
Create membership, a ledger balance, or trading rights

Membership begins only when you complete Operator’s then-current membership onboarding and accept the membership documents. As of September 18, 2026, membership may begin by open signup or optional referral, is free, and remains subject to Operator approval, refusal, or removal under the Member / Club Rules.

Operator may modify, delay, pause, or end Site features, waitlist programs, or membership programs at any time as permitted by the applicable terms and law.

3. No Offer of Securities, Banking, Money Transmission, or Operator Cash-Out

Nothing on the Site is:

An offer to sell, or solicitation to buy, securities
An offer of banking, deposit, or insured account services
An offer of money transmission or Operator USD cash-out / redemption of Lotus$ (cash-out remains not enabled unless Operator later publishes enablement)
An offer of cash-redeemable stored value redeemable for U.S. dollars from Operator

Do not rely on Site content as investment, legal, tax, or financial advice.

4. Lotus$ / “Lotus Cash”

References to Lotus$ (also called “Lotus Cash” in marketing) describe internal trade credits under the Ledger Terms when membership is active:

Used for Member-to-Member trades and, when enabled, application toward designated Lotustay.com lodging under published soft-night / Path rules
Not legal tender
Not a bank account or deposit
Not an investment product
Not wages
Not redeemable for U.S. dollars from Operator
Display amounts as Lotus$ (for example 100 Lotus$), not as leading “$” U.S. dollar amounts
Any “≈ $1 of listed value” language is a listing/pricing convention only, not a peg, guarantee, or claim of cash value against Operator

Authoritative product terms live in the membership documents and the published Trading & Lodging Enablement Schedule—not in marketing teasers.

5. Eligibility

You must be at least 18 years old and capable of entering a binding agreement to use the Site, join the waitlist, or become a Member. The Site is directed to users in the United States, with a California orientation.

6. Waitlist Sign-Up and Other Forms

If you submit your name and email (or other form fields):

You represent that the information is accurate
You consent to receive related communications as described in those messages or by contacting us (you may unsubscribe where applicable)
Waitlist or marketing submission does not create membership or trading rights (see Section 2)

Our collection and use of your information is described in the Privacy Policy (and, for Members, the Privacy Policy (Membership)).

7. User Conduct

You agree not to:

Use the Site in violation of law
Attempt to probe, scan, or disrupt the Site or others’ access
Scrape or harvest data except as allowed by robots rules or our prior written consent
Misrepresent your identity or affiliation
Upload malware or harmful code
Use the Site to send spam or unauthorized promotions

We may suspend or block access for suspected violations. Membership misconduct is also addressed under the Member / Club Rules.

8. Intellectual Property

The Site—including text, branding, logos, layout, and graphics—is owned by Operator or its licensors and protected by intellectual property laws. Except for limited viewing for personal, non-commercial use, you may not copy, modify, distribute, or create derivative works without prior written permission.

“Lotustay,” “Lotustay Exchange,” “Lotus$,” and related marks are used to identify the project; rights remain with the respective owners. Member-facing brand rules may also appear in the Trademark / Brand License Note when accepted.

9. Third-Party Links

The Site may link to third-party websites, including Lotustay.com. We do not control and are not responsible for third-party content, policies, or practices. Links are not endorsements. Lotustay.com lodging application with Lotus$ (when enabled) is governed by membership documents and the Host / Lodging Addendum, not by these Website Terms alone.

10. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPERATOR DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, error-free, or secure, or that waitlist participation or Site browsing will result in membership or any particular outcome. Membership feature availability is controlled by Operator’s published enablement schedule and membership documents.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPERATOR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR WAITLIST.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPERATOR’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID OPERATOR (IF ANY) TO USE THE SITE IN THE TWELVE MONTHS BEFORE THE CLAIM—WHICHEVER IS GREATER. (Browsing and waitlist use are free; in most cases the cap will be US $100.)

Claims arising from membership, trades, ledger balances, or lodging application are governed by the membership documents you accepted. Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted.

12. Indemnity

You agree to defend, indemnify, and hold harmless Operator and its officers, directors, employees, and agents from and against reasonable claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your misuse of the Site; (b) your violation of these Terms; or (c) your violation of any law or third-party right—except to the extent caused by Operator’s willful misconduct or gross negligence.

13. Governing Law and Venue

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law rules.

Exclusive venue for disputes arising out of or relating to these Terms or the Site shall be the state or federal courts located in Orange County, California, and you consent to personal jurisdiction there—unless applicable law requires otherwise (including any non-waivable consumer venue rights).

14. Changes

We may update these Terms by posting a revised version on the Site and updating the “Last updated” date. Continued use after changes constitutes acceptance, except where additional consent is required by law.

15. Severability; Entire Agreement

If any provision is found unenforceable, the remaining provisions remain in effect. These Terms and the Privacy Policy are the entire agreement between you and Operator regarding Site browsing, waitlist, and public marketing pages, and supersede prior conflicting website terms for this Site. They do not replace membership documents once you accept those for membership / trading features.
